3.7. Perfil do Cliente.

73, § 6º, no art. 79, § 4º, e no art.

7.2. Informações do Cliente.

7.4. Operações acima do limite.

4.3. Relevant Service Providers. Trace engages Relevant Service Providers, including companies of its economic group, in Brazil and abroad, to supply technology, infrastructure, compliance tools, liquidity provision and other services necessary to perform the Services. The engagement of these providers does not relieve Trace of its obligations and responsibilities toward the Client.

4.4. No recommendation. Trace does not provide investment advice or recommendations. The information provided by Trace does not constitute a recommendation to buy, sell or hold Virtual Assets, and the Client decides on its Transactions based on its own analysis and may seek independent advice.

5. Access to the Platform and the API

Trace may establish request and usage limits for the API.

5.5. License. Trace grants the Client a limited, non-exclusive, non-transferable and revocable license to use the API and the Platform solely to make use of the Services during the term of these Terms. The Client may not sublicense, resell or make access to the API available to third parties, except in the case of clause 6.2, nor reverse engineer, test for vulnerabilities without Trace’s prior written authorization, or interfere with the operation of the Services.

6. Acting on behalf of third parties

6.1. General rule. The Client uses the Services on its own behalf and as the ultimate beneficial owner of the Transactions. The Client may not use the Services to move funds or Virtual Assets on behalf of third parties, offer third parties access to the Services, or hold third-party positions in the Account, except in the case of clause 6.2.

6.2. Authorized Institutions. A Client that is an Authorized Institution may use the Services on behalf of its own customers, provided that it: (i) maintains, with respect to those customers, the identification, qualification, monitoring and reporting procedures required by the regulations applicable to it; (ii) provides Trace, for each Transaction, with the originator and beneficiary information required by Applicable Law; (iii) provides Trace, within up to 5 (five) business days from the request, or within a shorter period required by an authority, with the information and documents relating to its customers and to the Transactions carried out on their behalf; (iv) does not present Trace to its customers as the direct provider of the services offered to them; and (v) is liable to Trace for the acts of its customers relating to the Transactions.

6.3. Other arrangements. Any other arrangement in which the Client serves third parties through the Services requires a specific contract with Trace, preceded by a legal and regulatory assessment by Trace, and may not enable the provision of virtual asset services to persons resident in Brazil by an entity that is not authorized to do so.

6.4. Virtual asset service providers. If the Client is a virtual asset service provider that uses Trace’s custody to perform contracts entered into with the holders of the Virtual Assets, the Client will act as intermediary of those holders’ interests, and the parties will observe the duties and responsibilities set out in art. 73, § 6, art. 79, § 4, and art. 81, sole paragraph, of BCB Resolution No. 520/2025, under a specific instrument.

7. Foreign exchange market transactions

7.1. Classification. The following Services form part of the foreign exchange market and are subject to the foreign exchange regulations, including BCB Resolution No. 277/2022: (i) international payments and transfers with Virtual Assets; (ii) transfers of Virtual Assets from or to Self-Custodied Wallets; and (iii) purchase, sale or exchange of Stablecoins. An international payment or transfer is a Transaction settled through a change in ownership of Virtual Assets between a resident and a non-resident, or between non-residents, and the sending or receipt, from or to abroad, of Virtual Assets owned by the same person. Trace will classify each Transaction before its execution, based on the facts, the parties involved and the ownership of the Virtual Assets.

7.2. Client information. For international payments and transfers, the Client will provide Trace, before execution, with the purpose of the Transaction, with the respective classification code, the details of the payer or recipient abroad and the nature of its relationship with the Client, in addition to the other information required by the foreign exchange regulations. Trace will provide technical guidance on classification and may refuse generic codes or codes that are inconsistent or incompatible with the Client’s profile and operations. Changes to information at the Client’s request will be recorded with the original content preserved.

7.3. Limits. An international payment or transfer with Virtual Assets in which the Client is not an Authorized Institution is limited to the equivalent of the amount set in the foreign exchange regulations, currently US$ 100,000.00 (one hundred thousand United States dollars) per transaction, determined by converting the value of the Transaction on the date it is contracted. A payment or transfer exceeding this limit will be subject to clause 7.4. Splitting Transactions, as well as using different accounts, beneficiaries or purposes, in order to circumvent applicable limits or requirements is prohibited, and Trace may aggregate related Transactions for the purpose of verifying the limits.

7.4. Transactions above the limit. In international payment or transfer transactions with Virtual Assets whose value exceeds the limit equivalent to US$ 100,000.00 (one hundred thousand United States dollars), when the counterparty is not an Institution Authorized to operate in the foreign exchange market, the transaction will not be executed by Trace in its capacity as a virtual asset service provider and will automatically be carried out by a Partner FX Bank, which will act as the authorized institution responsible for the transaction in the foreign exchange market and will observe, jointly with Trace, the regulations and the identification, qualification and anti-money laundering and counter-terrorist financing procedures. To this end, the Client, by accepting these Terms: (i) authorizes Trace to forward to the Partner FX Bank the order, information and documents relating to the Client, the Transaction, its purpose and the payer or recipient abroad, to the extent necessary to carry out the transaction; (ii) undertakes to provide, within the period indicated, the additional information and documents required by the Partner FX Bank; and (iii) acknowledges that the transaction will only be completed after approval by the Partner FX Bank, which may refuse it or make it subject to conditions according to its own criteria. The forwarding provided for in this clause does not authorize the splitting prohibited in clause 7.3, and Trace may refuse any transaction that, alone or together with others, is intended to circumvent the applicable limit.

7.5. Prohibitions. The following are prohibited in the Services: (i) the purchase or sale of Virtual Assets with payment or receipt in foreign currency; (ii) the movement of funds or Virtual Assets on behalf of third parties, except in the case of clause 6.2; and (iii) transactions involving cash, in local or foreign currency.

7.6. Self-Custodied Wallets. In transfers from or to Self-Custodied Wallets, the Client will identify the owner of the wallet and, when requested, demonstrate the declared control or relationship, by means of message signing, a micro-transfer or another method accepted by Trace. Trace will verify the origin and destination of the Virtual Assets and may refuse or hold the transfer until the verification is completed.

7.7. Transfers to Foreign VASPs. Transfers from or to Foreign VASPs are subject to Trace’s verification of the supervision to which the Foreign VASP is subject or to a documented assessment of the risks of doing business with it, and may be refused or limited by Trace.

7.8. International capital. Transactions carried out for investment purposes, relating to foreign capital in Brazil or Brazilian capital abroad, are also subject to the regulations governing such capital, and the Client is responsible for complying with the registration and reporting obligations assigned to it.

7.9. Acknowledgment of terms. By confirming a Transaction, the Client declares that it is aware of the negotiated terms and of the responsibilities of the parties, and Trace will keep a record capable of evidencing such awareness.

7.10. Information to the Central Bank of Brazil. Trace will provide the Central Bank of Brazil with the information on the Transactions required by the foreign exchange regulations, including information relating to the Client, the parties involved, the purpose and the amounts. The Client is responsible for the accuracy of the information it provides and for the effects of incorrect or incomplete information.

8. Quotes, execution and settlement

8.1. Quotes. Purchase, sale and exchange Transactions are carried out in a request-for-quote format. Upon the Client’s request, Trace will provide: (i) the available price and quantity; (ii) the validity period for acceptance; (iii) the settlement period and terms; (iv) Trace’s role as counterparty; (v) the applicable fees and network costs; and (vi) the counterparty and settlement risks involved. In exchanges between Virtual Assets, the Quote will indicate the price of each Virtual Asset involved. As counterparty, Trace is responsible for completing the Transaction on the terms of the accepted firm Quote, regardless of whether the liquidity providers it has engaged fulfill their obligations. An indicative Quote, identified as such, does not bind Trace. A firm Quote binds the parties if accepted by the Client within its validity period.

8.2. Trace as counterparty. In purchase, sale and exchange Transactions, Trace acts as the Client’s direct counterparty, as buyer or seller. To fill Transactions, Trace may obtain liquidity from providers in Brazil and abroad, including companies of its economic group, and use its own inventory, without using the Virtual Assets held in custody for clients. The Quote price is formed on the basis of independent reference sources, and not exclusively on the price offered by the liquidity provider, including when the provider is part of Trace’s economic group. The pricing methodology and the reference sources used are described on Trace’s website.

8.3. Instructions and irrevocability. The Client must ensure that Instructions are complete and correct, including as to the Virtual Asset, the network, the destination address and the beneficiary details. An accepted firm Quote and confirmed transfer Instructions are irrevocable, and transfers recorded on the network cannot be reversed by Trace. Trace may refuse or suspend the execution of an Instruction that is incomplete, inconsistent or whose authenticity cannot be verified. The electronic records kept by Trace constitute evidence of the Instructions and Transactions, unless proven otherwise.

8.4. Prior availability. Execution of Transactions depends on the prior availability, in the Account or the Settlement Account, of the necessary Virtual Assets or funds in reais. Trace does not extend credit to the Client, and Transactions may not result in a negative balance.

8.5. Funds in reais. The movement of funds in reais related to the Services is carried out exclusively through the Settlement Account, held in the Client’s name, including via Pix. The Client’s funds in reais do not form part of Trace’s assets. The opening and maintenance of the Settlement Account are governed by the terms of the institution that offers it.

8.6. Settlement failure. If the Client does not deliver the funds or Virtual Assets due within the settlement period, Trace may cancel the Transaction or unwind the position at market price, and the Client will bear the price difference, fees and costs incurred, which may be set off against amounts owed to the Client, subject to Applicable Law.

8.7. Manifest Error. In the event of a Manifest Error, Trace may cancel the Transaction or adjust its price to the market conditions prevailing at the time of the Transaction, informing the Client of the measure taken and its grounds.

8.8. Transfers of Virtual Assets. The Client must send to the Account only Available Virtual Assets, over the network indicated by Trace. Trace is not liable for the loss of Virtual Assets sent over an incompatible network, to an incorrect address or in an unsupported asset, and may, when technically possible, attempt to recover them, without guarantee of success, subject to reimbursement by the Client of the network costs incurred. Transfers comply with the originator and beneficiary information requirements of Applicable Law. As of January 1, 2027, transfers of Virtual Assets to entities incorporated abroad that operate in the virtual asset market or to Self-Custodied Wallets, with a value exceeding the equivalent of US$ 10,000.00 (ten thousand United States dollars) per transaction or in aggregate on the same day, or when indicated by Trace’s risk analysis, will be subject to a possible temporary hold of 24 (twenty-four) hours after receipt in the Account of the respective funding funds or Virtual Assets, subject to early release by a reasoned decision of Trace. The hold is precautionary in nature, and Trace will inform the Client of its nature and the applicable period.

8.9. Operational limits. Transactions are subject to the value, volume and frequency limits set out in the Contract and in the API Documentation. Trace may change these limits upon prior notice to the Client, except when the change results from Applicable Law, an order of an authority, or risk or security reasons.

9. Custody of Virtual Assets

9.1. Nature and ownership. Trace provides the Client with the custody service for the Virtual Assets recorded in its Account, which comprises the safekeeping and control of the control instruments of those Virtual Assets, such as private keys, the recording and reconciliation of the Client’s position, the receipt and execution of its Instructions and the handling of events affecting the Virtual Assets held in custody. The Virtual Assets held in custody belong to the Client, do not form part of Trace’s assets and may not be used, lent or encumbered by Trace. All operations and acts of Trace relating to the Virtual Assets held in custody take place only upon the Client’s instruction or for its benefit.

9.2. Safekeeping method. Trace safeguards the control instruments of the Virtual Assets by means of multi-party computation (MPC), so that no single person holds, alone, the ability to move the Virtual Assets, and movements depend on quorum approval and segregation-of-duties controls.

9.3. Wallets and distribution. Clients’ Virtual Assets are held in custody wallets segregated from Trace’s own property, with each client’s position individually tracked in the records, separate from the wallets containing Trace’s own Virtual Assets, and distributed between: (i) hot wallets, connected to the internet and used for ordinary movements, with balances limited to what is necessary for those movements; and (ii) warm wallets, with restricted connectivity and enhanced approval, used to replenish the hot wallets and for higher-value movements.

9.4. Risks and consent. The safekeeping method and the distribution among wallets involve, among others, the following risks, mitigated by the procedures indicated: (i) cyberattack and unauthorized access, mitigated by limiting hot wallet balances, continuous monitoring, automatic blocking upon anomalous patterns and the quorum requirement; (ii) operational failure or human error, mitigated by segregation of duties, dual verification and prior registration of destination addresses; (iii) loss or compromise of control instruments, mitigated by distribution of key shards, backups in separate locations and tested recovery procedures; and (iv) temporary unavailability, mitigated by replenishment and business continuity procedures. As the safekeeping method and the wallet distribution strategy are the only ones made available by Trace, the Client, by accepting these Terms, declares that it is aware of these risks and agrees to the safekeeping method and to the distribution of the Virtual Assets among the wallets described in clauses 9.2 and 9.3. This consent is expressed specifically in the process of accepting these Terms and recorded as set out in clause 1.4.

9.5. Channels, authentication and position report. Instructions relating to the Virtual Assets held in custody are transmitted through the API or the Platform, using the Credentials and authentication factors provided for in clause 5. Trace communicates with the Client through the registered email address, the Platform and the service channels indicated in clause 15.9. The Client’s position report is available electronically on the Platform and through the API, and shows, for each Virtual Asset, the quantity, the financial balance and the pricing source used, the history of movements since the last report, and the dates of the last change in position and of the most recent issuance of the report.

9.6. Timeframes. Trace will observe the following timeframes: (i) processing of transfer Instructions for Virtual Assets held in hot wallets: up to 1 (one) hour; (ii) processing of Instructions requiring movement from warm wallets: up to 3 (three) hours; (iii) updating the Client’s position in Trace’s records after a change in its balance: up to 2 (two) hours; (iv) reconciliation between Trace’s records and network information: daily; and (v) making available to the Client the Virtual Assets and other benefits arising from events affecting the Virtual Assets held in custody, after confirmation of such benefits: up to 2 (two) business days. These timeframes may not be met in the event of network congestion or failure, unavailability of Relevant Service Providers, holds and verifications provided for in these Terms and in Applicable Law, security incidents or an order of an authority, events that may expose the Client to price fluctuations and to delays in the availability of its Virtual Assets.

9.7. Events and information sources. Trace will timely inform the Client of events affecting the Virtual Assets held in custody, such as network forks, airdrops, migrations and protocol upgrades, and will determine, according to criteria disclosed on its website, whether it will support the Virtual Assets resulting from them. The sources used for the valuation and pricing of the Virtual Assets held in custody are indicated on Trace’s website.

9.8. Third parties. Trace may engage third parties, in Brazil or abroad, including companies of its economic group, for technological or operational support to custody, selected according to criteria of technical capability, information security, regulatory status, business continuity and replaceability, and identified in the list to be published on the website. The engagement does not transfer to these third parties control over the Client’s Virtual Assets.

9.9. Controls and audit. The custody service is subject to Trace’s internal controls and to an annual independent audit, which cover the safekeeping of control instruments and the wallets used, the risk mitigation procedures, the operation of the systems and the handling of events affecting the Virtual Assets held in custody.

9.10. Operations affecting custody. Trace does not carry out staking or any other operation with the Virtual Assets held in custody that does not take place upon the Client’s instruction or for its benefit. Operations affecting custody are limited to the Transactions and transfers instructed by the Client and to the measures provided for in clauses 9.8, 9.13, 10.2 and 15.5, the risks of which are described in these Terms.

9.11. Transfer of custody and discontinuation. The Client may, at any time, request the transfer of its Virtual Assets to another custodian or to a Self-Custodied Wallet, by means of an Instruction indicating the destination custodian, the address and the network, subject to the verifications in clauses 7.6 and 7.7, the timeframes in clause 9.7 and the fees set out in the Contract. Trace will inform a Client that opts for self-custody of the necessary security measures, such as secure storage and backups of private keys and protection against social engineering fraud, and of the risks of this modality, and the Client assumes, from the transfer onward, the safekeeping of the respective private keys and the risks of their loss or compromise. In the event of interruption or discontinuation of the Services, Trace will transfer the Client’s Virtual Assets to the Client itself or to another virtual asset service provider designated by it, in accordance with Applicable Law.

9.12. Orders of authorities. Trace will comply with court orders and determinations of competent authorities relating to the Virtual Assets held in custody, including freezing and asset-unavailability orders. The control instruments and safekeeping mechanisms adopted by Trace do not impose obstacles to immediate compliance with such orders and determinations.

9.13. Specifications and governing rules. The Virtual Assets and networks covered by custody are those in the list of Available Virtual Assets. Custody is governed by Applicable Law, in particular Law No. 14,478/2022 and BCB Resolution No. 520/2025, including when it involves Relevant Service Providers abroad. The custody service fees and their respective triggering events are set out in the Contract, as provided in clause 11.

9.14. Liability for custody. Trace is liable to the Client for losses and damages suffered by the Virtual Assets held in custody as a result of an act or omission constituting negligence, malpractice, recklessness or willful misconduct, including where the Client’s access to its Virtual Assets is hindered or prevented.

10. Available Virtual Assets

10.1. Selection. Trace provides the Services only with respect to Available Virtual Assets, selected according to criteria disclosed on its website, including the specific criteria for selecting Stablecoins. Information on each Available Virtual Asset, its issuer, the technology involved and its risks is available on Trace’s website.

10.2. Suspension and removal. Trace may suspend or remove an Available Virtual Asset upon notice to the Client at least 30 (thirty) days in advance, except when an order of an authority or a material risk requires a shorter period. Within the period indicated, the Client may transfer the affected Virtual Asset or sell it to Trace. After that period, Trace may convert the remaining balance into reais, according to a previously disclosed pricing methodology, and make the corresponding amount available to the Client.

10.3. Third-party Stablecoins. Trace is not the issuer of the Stablecoins made available in the Services and does not guarantee their peg, their redemption by the issuer, or the quality or sufficiency of the reserves held by the issuer.

11. Fees and taxes

11.1. Fees. The Client will pay the fees and observe the other remuneration terms set out in the Contract, which discloses in advance the triggering event and the amount, or the method of calculation, of each fee. Fees apply exclusively to the intermediation and custody services actually provided, and Trace makes available a receipt or statement for each charge.

11.2. Price and costs. In purchase, sale and exchange Transactions, Trace’s remuneration may be included in the Quote price, in the form of a spread, as stated in the Contract. Network costs and third-party charges associated with the Transaction are disclosed in the Quote or before confirmation of the Instruction.

11.3. Collection. The Client authorizes Trace to deduct the fees and costs due from its balances, itemizing them in the respective statement, or to invoice them as set out in the Contract.

11.4. Changes. Changes to fees and the creation of new fees will be communicated to the Client at least 30 (thirty) days in advance, do not apply to Transactions already contracted, and entitle the Client to terminate these Terms without penalty.

11.5. Taxes. Each party is responsible for the taxes attributed to it by law. Trace will withhold the taxes it is required by law to withhold and will provide the tax authorities with the information required by tax legislation.

12. Anti-money laundering, sanctions and restrictive measures

12.1. Cooperation. The Client will cooperate with Trace in complying with obligations to prevent money laundering, terrorist financing and the financing of the proliferation of weapons of mass destruction, providing the information and documents requested regarding its identification, its ultimate beneficial owners, the origin and destination of the funds and Virtual Assets and the nature of the Transactions.

12.2. Sanctions and asset freezes. Trace will comply, without delay and without prior notice, with asset-freeze orders arising from United Nations Security Council resolutions, national designations and court orders, pursuant to Law No. 13,810/2019, and may consider, in its risk assessment, sanctions lists of other jurisdictions.

12.3. Reports to authorities. Trace will report to the Council for Financial Activities Control (Coaf, Brazil’s Financial Intelligence Unit) and to the other competent authorities the transactions and situations provided for in Applicable Law, without informing the Client or third parties.

12.4. Restrictive measures. Trace may refuse, block, hold or cancel Transactions, suspend or restrict the Client’s access to one or more Services, or terminate these Terms, when: (i) the Client ceases to meet the eligibility conditions; (ii) the Client, its officers, Authorized Persons or ultimate beneficial owners are Restricted Persons; (iii) there are indications of fraud, unauthorized use of the Services, money laundering, terrorist financing or another unlawful act; (iv) the Client fails to provide requested information or documents within the period indicated; (v) the Transaction does not meet the requirements of the foreign exchange regulations; (vi) the Client breaches these Terms; (vii) there is a Manifest Error; (viii) there is a legal or court order or an order of a competent authority; or (ix) there is a risk to the security of the Account, the Virtual Assets, the Platform or other clients.

12.5. Notice to the Client. Trace will inform the Client of the measure taken and its grounds, except when Applicable Law or the competent authority prohibits such notice. Except in cases of asset unavailability ordered by law or by an authority and of indications of unlawful conduct, Trace will ensure that the Client can withdraw its balances.

13. Client representations and obligations

13.1. Representations. The Client represents and warrants, on the date of acceptance and throughout the term of these Terms, that: (i) it is duly incorporated and its representatives have the powers to accept and perform these Terms; (ii) it holds the licenses and authorizations required for its activities; (iii) the funds and Virtual Assets used in the Services are of lawful origin; (iv) it acts on its own behalf and as the ultimate beneficial owner of the Transactions, except in the case of clause 6.2; (v) the information provided to Trace is true, complete and current; (vi) neither it nor its officers, Authorized Persons or ultimate beneficial owners are Restricted Persons; and (vii) it understands the risks of transactions with Virtual Assets and has the technical and financial capacity to assess them.

13.2. Obligations. The Client undertakes to: (i) use the Services only for lawful purposes and in compliance with Applicable Law and with the laws of the other jurisdictions involved in the Transactions; (ii) notify Trace, within 5 (five) business days, of changes in control, ultimate beneficial owner, officers, licenses or Client category, and of the politically exposed person status of its officers or ultimate beneficial owners; (iii) comply with anti-corruption rules, including Law No. 12,846/2013; and (iv) fulfill its own regulatory, tax and reporting obligations relating to the Transactions.

13.3. Prohibited conduct. The Client and its Authorized Persons may not: (i) engage or attempt to engage in market manipulation or use inside information; (ii) obtain or attempt to obtain an advantage from a Manifest Error; (iii) use the Services in connection with a Restricted Person or Restricted Jurisdiction or circumvent access restrictions; (iv) use mixers or other mechanisms designed to conceal the origin or destination of Virtual Assets; (v) split Transactions or provide inaccurate information to circumvent limits or requirements; or (vi) use the Services for unauthorized betting or gambling or for any unlawful purpose.

14. Liability

14.1. Liability of the parties. Each party is liable to the other for the direct damages it causes as a result of a breach of these Terms, subject to the provisions of this clause.

14.2. Exclusions. Without prejudice to clause 9.14, Trace is not liable for damages arising from: (i) incorrect or incomplete information provided by the Client, including as to the Virtual Asset, the network, the address and the beneficiary details; (ii) use of the Client’s Credentials, except in the case of a security failure attributable to Trace; (iii) failures of the Client’s systems, its connection or third parties engaged by it; (iv) price fluctuations of Virtual Assets, loss of peg or failure of redemption of third-party Stablecoins, and network events beyond Trace’s control, such as forks, protocol failures and network attacks; (v) the nature, quality or lawfulness of the goods and services underlying the commercial transactions to which the Transactions relate; (vi) measures taken in good faith in compliance with Applicable Law or an order of an authority; and (vii) acts of God or force majeure.

14.3. Limitation. Neither party is liable for lost profits, loss of business opportunity or indirect damages. Trace’s total liability to the Client, for events occurring in each 12 (twelve) month period, is limited to the amount of fees paid by the Client in the 12 (twelve) months preceding the event giving rise to the damage. The limitations in this clause do not apply: (i) to damages caused by willful misconduct or gross negligence; (ii) to the liability for custody provided for in clause 9.14; and (iii) to the obligation to return to the Client the Virtual Assets and funds it owns.

14.4. Indemnification by the Client. The Client will indemnify Trace and the companies of its economic group for losses, damages, fines, costs and expenses, including reasonable attorneys’ fees, arising from: (i) a breach of these Terms or of Applicable Law by the Client or its Authorized Persons; (ii) false, incorrect or incomplete information provided by the Client; and (iii) claims by the Client’s customers or third parties relating to Transactions carried out on their behalf, in the case of clause 6.2.

15. General provisions

15.1. Conflicts of interest. Trace acts as counterparty in the Transactions and may obtain liquidity from companies of its economic group. Trace separates activities carried out for its own account from those carried out for clients, adopts best-execution practices and independent price sources, and discloses on its website the existing conflicts of interest and the measures adopted to mitigate them.

15.2. Confidentiality. Trace keeps the Client’s transactions confidential, pursuant to Supplementary Law No. 105/2001, except for information provided to the Central Bank of Brazil, Coaf, the Brazilian Federal Revenue Service and other competent authorities, and sharing with Relevant Service Providers to the extent necessary to perform the Services, under a duty of confidentiality, and with the Partner FX Bank, in the case of clause 7.4.

15.3. Client confidentiality. The Client will keep confidential the commercial terms of the Contract, the API Documentation and any other non-public information of Trace to which it has access, using it solely to make use of the Services.

15.4. Personal data protection. Each party processes, as controller, the personal data it obtains by reason of these Terms, pursuant to Law No. 13,709/2018. The Client warrants that it has a legal basis to share with Trace the personal data of its representatives, Authorized Persons, ultimate beneficial owners and, in the case of clause 6.2, its customers. Trace may share personal data with companies of its economic group, with Relevant Service Providers, including abroad, and with the Partner FX Bank, in the case of clause 7.4, subject to arts. 33 to 36 of Law No. 13,709/2018. The processing of personal data by Trace is described in the Privacy Notice published on its website, and data subjects may exercise their rights before Trace’s data protection officer, Amanda Peçanha, DPO, dpo@trace.finance.

15.5. Term and termination. These Terms remain in effect for an indefinite term. Either party may terminate them without cause upon at least 30 (thirty) days’ prior notice. Trace may terminate them immediately in the cases of clause 12.4. Termination does not affect Transactions in progress, which will be settled on the contracted terms, nor obligations that, by their nature, survive the termination of these Terms. Upon termination, the Client will designate an account or wallet in its own name for the withdrawal of its balances. If it fails to do so within 60 (sixty) days after notice from Trace, Trace may convert the remaining Virtual Assets into reais, according to a previously disclosed pricing methodology, and hold the corresponding amount at the Client’s disposal.

15.6. Amendments. Trace may amend these Terms upon notice to the Client at least 30 (thirty) days before the amendment takes effect, except when the amendment results from a legal or regulatory requirement, in which case it will be communicated as soon as possible. A Client that does not agree with the amendment may terminate these Terms without penalty before it takes effect. Use of the Services after the amendment takes effect constitutes acceptance of it.

15.7. Assignment. The Client may not assign its position under these Terms without Trace’s prior written consent. Trace may assign it to a company of its economic group authorized to provide the Services, upon prior notice to the Client, subject to the regulations of the Central Bank of Brazil.

15.8. Notices. Notices relating to these Terms will be sent to the email address registered by the Client, through the Platform or through the API, and are deemed received on the date they are sent, unless a delivery failure is proven.

15.9. Customer service. The Client may contact Trace at contato@trace.finance and through the other channels indicated on the website, which include service by a human agent and support in the event of security incidents, breaches or interruptions of the Services.

15.10. Language. These Terms are executed in Portuguese and in English. In the event of any discrepancy, the Portuguese version prevails.

15.11. Waiver and severability. Either party’s tolerance of a breach of these Terms does not constitute a waiver or novation. The invalidity of any provision of these Terms does not affect the remaining provisions.

15.12. Governing law and jurisdiction. These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the Judicial District of São Paulo, State of São Paulo, are elected to settle any dispute arising from these Terms, to the exclusion of any other, however privileged it may be.
